These Terms and Conditions (“Terms”) govern the use of services provided by Review Doctr, LLC (“Review Doctr,” “we,” “us,” or “our”), a Nebraska limited liability company. By accessing our website, enrolling in our services, or submitting payment, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
1. Services
Review Doctr provides marketing services designed to help businesses request and generate customer reviews, including Google reviews. We do not control, guarantee, or moderate the content of reviews, nor do we guarantee any specific number of reviews, ratings, rankings, or business outcomes.
2. Subscription and Billing
Services are provided on a month-to-month subscription basis unless otherwise stated in writing. Subscription fees are billed in advance on a recurring monthly basis. By enrolling, you authorize Review Doctr to charge your payment method on file each billing cycle. Fees are non-refundable once billed, including for partial months.
3. Cancellation
You may cancel your subscription at any time by providing written notice or canceling through the method provided by Review Doctr. Cancellation will take effect at the end of the current billing cycle. No prorated refunds are provided for unused time.
4. Client Responsibilities
You represent and warrant that you have the legal right to contact your customers and to provide their information to Review Doctr for review-related communications. You are solely responsible for obtaining all required customer consents, including consent for email, SMS, or other electronic communications. You agree to comply with all applicable laws, including but not limited to Google policies, CAN-SPAM, and TCPA regulations.
5. No Guarantee of Results
Review Doctr does not guarantee review volume, review sentiment, star ratings, search rankings, or business performance. All services are provided on a best-efforts basis. Review platforms retain sole discretion over whether reviews are published, removed, or filtered.
6. Prohibited Use
You may not use our services for deceptive, misleading, unlawful, or unethical practices, including but not limited to incentivizing reviews, fabricating reviews, or violating third-party platform policies. Review Doctr reserves the right to suspend or terminate services for violations.
7. Third-Party Platforms
Our services may integrate with or rely on third-party platforms such as Google, SMS providers, or email services. Review Doctr is not affiliated with, endorsed by, or responsible for the actions or policies of third parties. Use of third-party services is subject to their respective terms.
8. Intellectual Property
All materials, software, workflows, and content provided by Review Doctr remain our intellectual property unless otherwise agreed in writing. You are granted a limited, non-transferable license to use materials solely in connection with active services.
9. Limitation of Liability
To the fullest extent permitted by law, Review Doctr shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, reputation, or reviews. Our total liability for any claim shall not exceed the amount paid by you to Review Doctr in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Review Doctr, its members, managers, and employees from any claims, damages, liabilities, costs, or expenses arising from your use of the services, violation of these Terms, or failure to obtain proper customer consent.
11. Termination
Review Doctr may suspend or terminate services at any time for non-payment, violation of these Terms, or unlawful or improper use of services. Termination does not relieve you of payment obligations incurred prior to termination.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles. Any legal action shall be brought exclusively in state or federal courts located in Nebraska.
13. Modifications
We may update these Terms from time to time. Continued use of services after changes are posted constitutes acceptance of the revised Terms.
14. Entire Agreement
These Terms constitute the entire agreement between you and Review Doctr regarding the services and supersede all prior agreements or understandings.
